1、本意见所称跨国公司地区总部是指注册地在境外的跨国公司在江苏设立的，以投资或授权管理形式履行跨省以上区域范围内投资、管理和服务职能的总部类型的外商投资企业。
Theterm”Regional Headquarters of Mutinalonal Corporationsas menioned in the Opinions refers to the headquarners-type forelgn-invested enterprise s establshed in Jangsu province by registered-overseas mutina tonal oorporations,which perform the funectionsof investment,management and service in the regional scope beling greater than one pronince in the form of inwvestment or authorizedmanagement.
2、本意见所称跨国公司事业部地区总部是指注册地在境外的跨国公司具有以功能、业务、产品、品牌、服务等为依据细分的事业部制组织架构，由其在江苏设立，以投资或授权管理形式负责事业部跨省以上区域范围内投资、管理和服务职能的外商投资企业。
The term”Regional Headquarters of Business Divisions of Mutinafional Corporations”mentioned in the Opinions refers to the forelgn-nwested enterprises established inJiangsu by registered-overseas mutinafional corporations wih the business divslons based on tfunechon,business,product,brand and senice,which are responslble for the imestment,management and servioe of the business divisions in theregional scope beling greaer than one pronince in the form of investment or aufhorized management.
3、本意见所称跨国公司功能性机构是指注册地在境外的跨国公司在江苏设立的，履行跨省以上区域范围内研发、财务管理、营销、采购、检测等职能的外商投资企业。
The term “Functional Organizafion of Mutinalional Coporations”as menioned in the opinion refers to the forelgn-invested enterprisesestablished in Jiangsu by registered-overseas muinational orporations,which perform the functions such as R&D,finandal management,marketing,proourement and testing in the regional scope being greater than one provinoe.
4、本意见所称跨国公司事业部功能性机构是指注册地在境外的跨国公司具有以功能、业务、产品、品牌、服务等为依据细分的事业部制组织架构，由其在江苏设立，履行事业部跨省以上区域范围内研发、财务管理、营销、采购、检测等职能的外商投资企业。
The term “Funchonal Organizaion of Business Dislons of Mutinational Corporations”as menioned in the Opinions refers to theforelgn-invested enterprises estabished in Jangsu by registered-overseas mulinational orporafons with the business diusions basedon funchion,business,product,brand and senice,which perorms the funcions of R&D,francial management,markefng,proourement,testing and the other in the regional soope being greater than one province of the business dinislions.
5、本意见所称的跨国公司不包括实际控制人在中国境内的境外企业。
The mutinafonal orporafons menfoned in the Opinions do not include the overseas enterprises which actual controlers are justwithin theteritory of China.
跨国公司地区总部，是指注册地在境外的跨国公司在江苏设立的，以投资或授权管理形式履行跨省以上区域范围投资、管理和服务职能的总部类型的外商投资企业。
Regional Headquarters of MufinationalCorporaion refers to the headquarners type forelgn-invested enterprise established in Jangsurovinoe by registered-overseas mulinaional orporations,which performs the funclions of ime stment,management and servioe in iheregional scope beling greater than one province in the form of investment or authorized management.
跨国公司地区总部应满足以下条件：
To become a regonal headuarters of amufnatonal coporafon,the folowing condfons shoud be met:
·具有独立法人资格，符合江苏产业发展方向，营业执照登记住所或主要经营场所在江苏省境内，持续经营一年以上
As an independent legal person,its business should be in line win the need of industrial development in Jiangsu Provinoe,and isregistered address of the business lioense or the main premises should be in the temitory of Jiangsu Provinoewith a coninuousoperafion durafon of more than one year
·境外母公司资产不低于3亿美元(其中服务业为不低于2亿美元)
The assets of is overseas parent opany should not be less than USD300 mmion(for the senice industy,the asset should not beless than USD200 milion)
·境外母公司直接或间接持股超过50%
Its overseas parent oompany shall directly orindirecty holds more than 50%of all is shares
·实际缴付注册资本不低于1000万美元
Its pald-inregistered capital shall not be less than USD10 milion
·管理或被授权管理及服务的境内外独立法人企业不少于3家(其中至少有1家住所在江苏省以外地区),且需正常开展生产
经营活动1年以上，有持续业务贡献；或管理或被授权管理的境内外独立法人企业及分支机构不少于6家(其中至少有1家为独立法人企业且至少有1家住所或营业场所在江苏省以外地区),且需正常开展生产经营活动1年以上，有持续业务贡献
01跨国公司地区总部Regional Headquartersof MultinationalCorporatin
It shall manage or be authorized to manage and serve at least tree enterprises winh the status of independent legal person at homeand abroad (of which at least one enerprise shal be outsideJiangsu Pronince),and shoud have normaly caried outis producion andbusiness acities for more than one year and made sustajined business conmibutionr;C,it shall manage or be auhorized to manageat least 6 enterprises win the status of independent legal person and subsldiarnes at home and abroad (of which at least one is anenterprise win the status of independent legal person and af least one has its domicle or premises of busness belng outside of JangsuProvince),and shoud have normaly carried out its producthon and busine ss actvities for more than one year and made sustainedbusiness contnibuion
·未被列入严重失信主体名单。
It shall not be indudedin the lst of enftles with poor credit
跨国公司事业部地区总部是指注册地在境外的跨国公司具有以功能、业务、产品、品牌、服务等为依据细分的事业部制组织架构，由其在江苏设立，以投资或授权管理形式负责事业部跨省以上区域范围内投资、管理和服务职能的外商投资企业。
